End User License Agreement (EULA) & Liability Waiver

1. Definition of the Software

The term “Software” encompasses the Micro-PedSimâ„¢ platform and all associated current or future computational modules (including but not limited to Motus, Tessera, Fluxus, Oculus, and Nexus). This explicitly includes all algorithms, updates, outputs, and expansions related to pedestrian dynamics, vehicular traffic, signal coordination, tracking, and spatial analysis.

2. Nature of Software as an Analytical Tool

The Software is strictly a theoretical analytical tool. It is not, under any circumstances, a substitute for professional engineering judgment, independent physical testing, or real-world architectural and life-safety validation.

3. Absolute Assumption of Risk

The Licensee legally acknowledges that the operation of the Software and the application of its outputs are undertaken entirely at their own risk. The Vendor provides the Software “as-is” and offers no warranty, express or implied, that the Software is error-free, mathematically perfect, or perfectly mirrors real-world physics, crowd dynamics, traffic flow, or human behavioral psychology.

4. Zero Liability for Physical or Economic Damages

The Vendor assumes absolutely zero legal or financial liability in the event of a catastrophic failure, including but not limited to crowd crushes, vehicular collisions, delayed emergency egress, structural failure, physical damage, economic loss, bodily injury, or death resulting directly or indirectly from decisions based on the Software’s output.

5. Limitation of Financial Exposure

In the event of litigation not precluded by applicable law, the Vendor’s maximum total financial exposure is strictly limited to the exact purchase price of the software license paid by the Licensee during the one (1) month immediately preceding the claim.

6. Professional Liability Indemnification

The legal burden of safety, regulatory compliance, and risk mitigation falls entirely upon the licensed human professionals operating the Software. The Licensee agrees to indemnify, defend, and hold the Vendor harmless from any and all third-party claims of professional negligence, errors, or omissions arising from the use of the Software.
